Penalties for Missing Annual Compliance Deadlines

Missing a Registrar of Companies filing deadline triggers a penalty that accrues per day the filing remains outstanding, and sustained non-compliance can lead to director disqualification or the company being struck off the register.

Late filing penalties

Most Registrar of Companies filings — including AOC-4 and MGT-7 — attract an additional fee for every day of delay past the due date, on top of the normal filing fee. Because it's charged per day rather than a flat fine, a filing that's a few months late can end up costing many times the original fee.

Beyond the late fee

  • Directors of a company that fails to file for three consecutive financial years can be disqualified from being appointed as a director of any company for a period.
  • A company that stays non-compliant for an extended period risks being struck off the register by the Registrar of Companies.
  • LLPs face their own late filing fees on Form 8 and Form 11, calculated similarly on a per-day basis.

The cheapest fix is not being late
